TL;DR

  • Forward Industries has agreed to sell 3.125 million shares to one institutional investor at $8 each.

  • The company says it intends to use the net proceeds to acquire additional SOL for its corporate treasury.

Forward Industries is going back to the equity market to grow its Solana treasury.

The Nasdaq-listed company has entered into a registered direct offering with a single institutional investor, agreeing to sell 3.125 million common shares at $8 apiece.

Gross proceeds are expected to come to approximately $25 million before fees and expenses.

The Capital Has A Specific Destination: More SOL

Forward says it intends to use the net proceeds to acquire additional SOL.

That makes the financing unusually straightforward from a crypto perspective.

The company is issuing equity, receiving cash and planning to convert the resulting capital into a larger Solana position.

Forward describes itself as a Solana-focused digital-asset treasury company and says its objective is not simply to increase the absolute amount of SOL it holds, but also to improve SOL exposure per fully diluted share.

Those two goals do not automatically move together.

Issuing new shares increases the denominator.

The company therefore needs the value added to its treasury to justify the dilution created by selling additional equity.

Crypto Treasury Companies Are Becoming Capital-Market Machines

Strategy established the basic playbook with Bitcoin: use public-market financing to accumulate a digital asset, then let investors value the company partly as an amplified treasury vehicle.

A growing group of companies is applying versions of the same idea to altcoins.

Forward has chosen Solana.

The offering is expected to close on or around September 24, subject to customary conditions, so the $25 million should still be treated as expected gross proceeds until closing is complete.

There is also no guarantee that the company buys exactly $25 million of SOL.

Fees and offering expenses reduce the net amount available.

Still, the direction of travel is explicit.

Forward is raising capital specifically to increase its SOL treasury.

For shareholders, that makes the stock increasingly tied to two things at once: management’s ability to use public-market financing efficiently and the future performance of Solana itself.

The more SOL Forward accumulates, the less the company can be evaluated like an ordinary operating business alone.

It becomes a capital structure wrapped around a crypto treasury.
